1. Agreement to Terms

By accessing or using SproutGifts (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

SproutGifts is a gift registry platform that allows users to:

• Create gift registries for children's milestones and occasions
• Add gift items and cash fund goals to registries
• Share registries with friends and family
• Receive contributions toward cash funds
• Browse and purchase recommended gifts through affiliate links

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. You are responsible for safeguarding your password and for all activities that occur under your account.

You agree to:

• Provide accurate account information
• Maintain the security of your password
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

4. Registry Creation and Content

When creating a registry, you agree that:

• You will only create registries for children for whom you have legal authority (as a parent, guardian, or with permission)
• All information provided is accurate and truthful
• You will not include inappropriate, offensive, or illegal content
• SproutGifts reserves the right to remove any content that violates these terms

5. Cash Funds and Payments

For Registry Creators:

• You must connect a valid bank account to receive payouts
• A 2.5% platform fee is deducted from contributions at payout time
• Stripe payment processing fees also apply
• First payouts typically take 7-14 business days; subsequent payouts take 1-3 business days
• Funds are held by Stripe until you request a payout

For Contributors:

• All contributions are final and non-refundable unless required by law
• Contributions go directly to the registry creator's connected account
• SproutGifts does not guarantee how funds will be used by recipients

6. Affiliate Links and Product Recommendations

Our Service may include links to third-party products through affiliate programs, including the Amazon Associates Program. As an Amazon Associate, we earn from qualifying purchases.

Please note:

• We may receive commissions when you purchase through our links
• Product prices and availability are determined by third-party retailers
• We do not guarantee the accuracy of product information from third parties
• Purchases are subject to the terms of the respective retailer

7. Intellectual Property

The Service and its original content (excluding content provided by users) are and will remain the exclusive property of SproutGifts. Our trademarks and trade dress may not be used without our prior written consent.

By posting content on SproutGifts, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with providing the Service.

8. Prohibited Uses

You may not use the Service:

• For any unlawful purpose
• To solicit others to perform unlawful acts
• To violate any regulations, rules, or laws
• To infringe upon the rights of others
• To submit false or misleading information
• To upload malicious code or interfere with security features
• To harass, abuse, or harm another person
• For any fraudulent purpose

9. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

You may also delete your account at any time. Note that pending payouts will still be processed according to our standard timeline.

10. Limitation of Liability

In no event shall SproutGifts, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other intangible losses, resulting from:

• Your use or inability to use the Service
• Any unauthorized access to your data
• Any third-party conduct on the Service
• Any content obtained from the Service

11. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SproutGifts makes no warranties, expressed or implied, regarding the Service's operation or the information, content, or materials included therein.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after revisions become effective, you agree to be bound by the revised terms.
